OFFICIAL RULES
NO PURCHASE NECESSARY. PURCHASE WILL NOT IMPROVE CHANCES OF WINNING

ELIGIBILITY: The Princess in the City Search ("Sweepstakes") is offered only in the United States and the District of Columbia and is open only to legal residents of the United States. Entrant must be 18 years old or older with a daughter between the ages of 2 and 12 as of November 17th, 2009. Employees of Almar Sales Company ("Sponsor"), Marlene Wallach, Wilhelmina Kids and Teens("Prize Provider") and their respective affiliates, parent companies, subsidiaries, franchisees, contractors, distributors, retailers (as applicable), advertising, promotion, fulfillment and marketing agencies, agents, and attorneys, and their immediate families (defined as spouse, child, sibling, parent or grandparent) and persons living in the same household of each (whether related or not) are not eligible. Entrant agrees to be governed by these Official Rules and the decisions of the independent sweepstakes administrator. Void in Puerto Rico, U.S. Territories and where prohibited by law.

HOW TO ENTER: The Princess in the City Search begins on or about 12:00 a.m. ET on Tuesday, November 17th, 2009 and ends at 11:59 p.m. ET on Sunday, February 21st, 2010. Sponsor's computer is the official clock for the sweepstakes.

Go to www.MyPrincessAcademy.com/sweepstakes. Click on the Princess in the City Search link and follow the instructions for entry. You will be required to enter your first name, last name, mailing address (No P.O. Boxes accepted), daytime phone number, e-mail address, and a photograph (required). Limit one entry per individual/household. Any attempt to enter by using multiple/different e-mail addresses, identities, or any other methods will void that entrant's entries and that entrant will be disqualified.
By completing the registration and uploading your Photo, you agree that your Photo conforms to the Photo Guidelines and Content Restrictions as defined below (collectively, the "Guidelines and Restrictions") and that Sponsors, in their sole discretion, may disqualify your Photo if they believe, in their sole discretion, that your Photo fails to conform to the Guidelines and Restrictions in any way, in which case you shall be disqualified from the Contest.

For all Photos: Your Photo may be posted online and viewed by other people. Sponsors are not responsible for lost, late, incomplete, invalid, un-intelligible or misdirected Photos, which are disqualified. Multiple participants are not permitted to share the same email address. Any attempt by any person to obtain more than the stated number of photos by using multiple/different email addresses, identities, registrations and logins, or any other methods will void that person's entries and he/she may be disqualified.
Photographer/Copyright
Entries must be submitted by the original photographer or entrant must have obtained the ownership rights in the Photo. Do not submit a Photo taken by someone other than you if you have not obtained the ownership rights in the Photo. You must be the sole owner of the copyright of any image submitted. Your submission of a Photo is your guarantee that you are the copyright holder of the Photo.
Ownership/Use Rights
Contestants retain the copyright to their Photo, and all rights thereto, except as follows: By entering the Sweepstakes, Contestants agree to have their Photo displayed on the Sweepstakes' website without any fee or other form of compensation, and agree that Sponsor may display winning photographs in a "past winners" photo gallery and may make and retain copies of the Photo for archival purposes. Photographs will be credited to the Contestant named in the entry form. In the event that ownership of any Photo submitted is contested in any manner, Sponsor may disqualify that Photo and discontinue use of the Photo.
PRIZES & APPROXIMATE RETAIL VALUE ("ARV"): One (1) Grand Prize: A trip for a family of four (4) to New York, New York to attend a Professional Wilhelmina Photo Shoot. Grand Prize Winner and guests must travel together on same itinerary and must be available to travel by June 31st, 2009 and must attend the Wilhelmina photo shoot. If winner is unavailable on such dates, prize will be forfeited in its entirety without compensation of any kind and may be awarded to an alternate winner. Prize includes a Princess Academy tiara, Makeup backpack, Princess dress and roundtrip coach air travel from gateway commercial airport closest to winner's residence (as determined by Sponsor in its sole discretion) to New York, New York, 4-Day/3-Night hotel (standard, quad occupancy) accommodations, a Princess spa visit (hair cut or style, makeup application, and manicure), The My Tween Lifestyle Collection of books autographed by author Marlene Wallach, and $1,200 in spending money (in the form of a check provided with travel documents prior to travel date). Valid photo identification issued by a state of the United States or a valid passport is required for air travel. If winner lives within approximately 150 miles of New York, New York (as determined by Sponsor in its sole discretion) ground transportation will be provided by Sponsor instead of air travel and winner will receive no compensation in conjunction with such modification. If winner travels with fewer than three (3) guests (i.e., family has less than 4 members), winner will receive elements of trip in increments suitable for actual number of travelers and will not receive any compensation or alternate prize in conjunction therewith. Trip is subject to availability and additional restrictions. All expenses not specified in these Official Rules are the sole responsibility of the winner. ARV: $4,450.

All prizes are awarded "as is" except for any standard manufacturer's warranty which may accompany the prize. Total Prize Pool ARV is $4,450

All prizes are non-transferable. Prizes cannot be returned or exchanged for cash. Substitution of prizes by winners is prohibited. Sponsor reserves the right in their sole discretion to substitute advertised prize with a prize of comparable value in the event the advertised prize (or portion thereof) is not available for any reason. In the event any prize is returned for any reason, prize will be forfeited without compensation and an alternate will be selected.

Acceptance of a prize constitutes permission from winner for Sponsor and its agencies to use winner's name, voice, likeness and/or other indicia of person without notice or further compensation for purposes of advertising and trade, including posting of winner's first name, last initial and winner's child(ren)'s first name and city and state of residence on The Princess Academy website for a maximum of sixty (60) days, unless prohibited by law.

All applicable U.S. federal, state and local taxes are the sole responsibility of the winners.

JUDGING/WINNER SELECTION/PRIZE NOTIFICATION
Judging by Qualified Panel: During the Judging Phase, a panel of qualified judges (selected by Sponsors in their sole discretion), whose decisions regarding the Contest and related matters are final and binding, will select from all eligible entrants who uploaded a Photo during the Submission Phase. The judges will make this decision based upon the following judging criteria: 30% overall appearance of the child as shown in the Photo, 50% overall personality of the child as expressed through the Photo and 20% quality of the Photo. In the event of a tie between two (2) or more entries for the last Finalist, the entry with the highest score for overall appearance will be deemed the Finalist. Should a tie remain, a new judge (determined by Sponsors in their sole discretion) will re-judge the remaining tied entries based upon all criteria set forth above. If the qualified panel is unavailable for any reasons to judge the Finalist Photos, then new judges shall be selected by Sponsors in their sole discretion.
CONTEST GRAND PRIZE WINNERS VERIFICATION: The potential Grand Prize will be notified by phone, email, and/or mail on or about February 28th, 2010 using the contact information given at the time of entry. The potential Grand Prize Winner will be notified by overnight mail and will be required to sign, notarize and return the Grand Prize and up to three (3) Guest Affidavit of Eligibility and Release of Liability/Publicity (where legal) forms within five (5) business days of notification. Grand Prize winner's travel guests (if guest is a minor, his/her parent/legal guardian) must sign and notarize a Liability Release and Publicity Release (where legal) prior to the issuance of travel documents. Grand Prize winner and winner's travel guests, all minors must be accompanied by his/her parent/legal guardian. If Grand Prize winner IS unavailable to travel by June 31st, 2010 to attend the Wilhelmina Photo Shoot, Grand Prize winner shall receive the trip to New York City as outlined above with the exclusion of the Wilhelmina Photo Shoot component of prize. Under such circumstances, (a) travel to the prize trip must be completed by August 31, 2009; (b) the trip is subject to availability and other restrictions, including the requirement that Grand Prize winner provide at least 21 days' advanced notice prior to intended date of departure. Entrants understand that the Wilhelmina Photo Shoot component of prize has no cash value and if such component is unavailable or cannot be awarded for any reason, the liability of Sponsor and its agencies will be limited to award of the remaining elements of the Grand Prize. Sponsors will successively attempt to contact up to three (3) alternate winners in accordance with the above procedure, after which the applicable prize will not be awarded.
Noncompliance with these Official Rules and/or failure of potential winner to timely complete and return the executed documents (if applicable) will result in forfeiture of the prize (without compensation) and an alternate winner will be selected from all remaining eligible entries received for applicable drawing. Any attempt to defraud Sponsor in any way will result in disqualification of participant; and, such participant may be prosecuted to the fullest extent of the law.
INTERNET: Participation in Sweepstakes is subject to the Privacy Policy of The Princess Academy found at www.MyPrincessAcademy.com. If you DO NOT agree to the Privacy Policy, DO NOT USE THE WEBSITE OR PARTICIPATE IN THE SWEEPSTAKES. Sponsor and their parent, subsidiaries, and affiliates, and their respective advertising, promotion or production agencies are not responsible for technical, hardware, software or telecommunications malfunctions of any kind, lost or unavailable network connections, or failed, incorrect, incomplete, inaccurate, garbled or delayed electronic communications caused by the sender, or by any of the equipment or programming associated with or utilized in this Sweepstakes which may limit the ability to participate, or by any human error which may occur in the processing of the entries of this Sweepstakes. CAUTION: ANY ATTEMPT BY AN ENTRANT TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES IS A VIOLATION OF CRIMINAL AND CIVIL LAW. SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT OF THE LAW (AND TO DISQUALIFY SUCH INDIVIDUAL FROM THE SWEEPSTAKES, IF APPLICABLE). Any attempt to defraud Sponsor will result in disqualification and prosecution to the full extent of the law. If for any reason including, but not limited to, infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other cause beyond the control of Sponsor, which corrupts or affects the administration, security, fairness, integrity, or proper conduct of this Sweepstakes and renders the Sweepstakes incapable of being conducted as described in these Official Rules, Sponsor shall have the right, at its sole discretion, to cancel, terminate, modify or suspend the Sweepstakes in whole or in part. And, in such event, Sponsor shall award the prizes for all affected random drawing(s) from among all eligible entries received for such affected drawing(s) prior to and/or after (as appropriate) the action taken by Sponsor or in some other manner determined by Sponsor in its sole discretion to be fair, appropriate and in accordance with the spirit of these Official Rules. Notice of such action by Sponsor will be posted on www.MyPrincessAcademy.com/sweepstakes.
The Sweepstakes is governed by the laws of the State of New York (with the sole exception of conflict of law/choice of law rules which would result in the application of the law of any jurisdiction other than New York), with venue in New York County, New York and all claims must be resolved in the appropriate state and federal courts of New York County, New York. By participating in Sweepstakes, entrant agrees to the jurisdiction of such courts. Claim must be filed individually, NOT as a class action. Entrant further understands and agrees that in no event will he/she be permitted to obtain awards for and hereby waives all rights to claim punitive, incidental and consequential damages and any other damages, fees or costs including without limitation attorneys' fees, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased.
